Food Network's "Tools for School" Sweepstakes (the "Sweepstakes") begins at 9:00 a.m. (Eastern Time ("ET")) on August 1, 2008 and ends at 5:00 p.m. ET on September 2, 2008 (the "Sweepstakes Period").

3. Drawing and Notification: Potential Grand Prize Winner will be selected from all eligible entries received in a random drawing held on or about September 12, 2008 by Sweepstakes Administrator, an independent judging organization whose decisions are final and binding in all respects. Odds of winning the Grand Prize depends upon the number of eligible entries received. The potential Grand Prize Winner will be notified by phone, email and/or mail within approximately seven (7) days of the drawing. If a potential Grand Prize Winner cannot be reached within three (3) calendar days from the first notification attempt, then such person shall be disqualified and an alternate winner will be selected.

4. Prizing: One (1) Grand Prize: One Grand Prize Winner shall win the following: (i) Fifty Five Thousand Dollars ($55,000) in cash (awarded in the form of a check). Total Value of Grand Prize: $55,000.

All other expenses not specifically identified as included in the Grand Prize are the sole responsibility of the Grand Prize Winner. All costs, taxes, fees, and expenses associated with any element of any prize not specifically addressed above are the sole responsibility of the Grand Prize Winner. All federal, state, and local taxes on prizes are the Grand Prize Winner's responsibility. The Grand Prize Winner will be issued a 1099 tax form for the cash value of the Grand Prize. The specifics of all aforementioned elements of the Grand Prize in the Sweepstakes shall be solely determined by Sponsor. Sponsor reserves the right to substitute a prize of equal or greater value if the Grand Prize cannot be awarded as described for any reason. Some restrictions may apply. The Grand Prize cannot be transferred, substituted, or redeemed for cash except at Sponsor's sole discretion. Sponsor reserves the right to substitute the prize, or portions thereof, with a prize of equal or greater value. The Grand Prize will be awarded.
